1. Services

CiteSignal Ltd provides AI visibility auditing, consultancy, and optimisation services including but not limited to the AI Visibility Audit, CiteSignal OS™ implementation, and AI Visibility Index monitoring. The scope and deliverables of each engagement are agreed in writing prior to commencement.

2. Engagement and Payment

All engagements are confirmed upon receipt of payment or a signed order confirmation. Invoices are payable within 14 days of issue unless otherwise agreed. Late payments may incur interest at 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts Act 1998.

One-time services such as the AI Visibility Audit are non-refundable once work has commenced. Monthly retainer services may be cancelled with 30 days written notice after any agreed minimum term.

3. Minimum Term

Growth and Enterprise plans carry a minimum commitment of 3 months from the start date of the engagement. After the minimum term, services continue on a rolling monthly basis and may be cancelled with 30 days written notice.

4. Client Obligations

To deliver our services effectively, clients agree to provide timely access to relevant information, platforms, and team members as reasonably required. Delays caused by the client may affect delivery timelines and CiteSignal Ltd shall not be liable for such delays.

5. Intellectual Property

All methodologies, frameworks, and proprietary tools developed by CiteSignal Ltd, including the CiteSignal OS™ and AI Visibility Index, remain the intellectual property of CiteSignal Ltd. Upon full payment, clients receive a licence to use deliverables produced specifically for them within their own business.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation continues for 2 years following the end of the engagement.

7. Results and Warranties

CiteSignal Ltd will perform services with reasonable skill and care. However, we do not guarantee specific outcomes such as citation frequency increases or search ranking improvements, as these depend on factors outside our control including AI platform algorithm changes.

8. Limitation of Liability

CiteSignal Ltd’s total liability to you in connection with any engagement shall not exceed the total fees paid by you to us in the 3 months preceding the claim. We shall not be liable for any indirect, consequential, or special losses including loss of profit or business opportunity.

9. Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to These Terms

We may update these Terms and Conditions from time to time. Continued use of our services following notification of changes constitutes acceptance of the updated terms.
